Holst, Advokater assists in major Danish fashion merger
Holst, Advokater assisted the shareholders in Revolver ApS during the sale of 100% of the shares in the company to Bella Operation A/S.
Revolver ApS initially founded the Copenhagen fashion fair ‘Revolver’, which is usually held in Øksnehallen and in Forum Copenhagen in connection with the Copenhagen fashion week. Bella Operation A/S is already the mastermind of fashion fair CIFF (Copenhagen International Fashion Fair), which is also held in connection with the Copenhagen fashion week. Bella Operation A/S is furthermore part of Bellagroup – one of Denmark’s greatest companies within hotels, conferences and fairs, and today Bellagroup runs Bella Center Copenhagen, Copenhagen Marriott Hotel and Crowne Plaza Copenhagen Towers.
The merger will reinforce Copenhagen’s position as the fashion capital of Scandinavia.
Holst, Advokater assisted the shareholders of Revolver ApS with legal advice in connection with setting up data rooms, preparation of the share transfer agreement and other agreements related to the transaction. The team at Holst, Advokater consisted of Anders Roug, Anders Hedetoft and Søren Elmstrøm.
